Call for Legal Counsel

ASHE 2022 President-Elect (2023 President) Ana Martínez-Alemán has launched a search to fill the upcoming vacancy for ASHE’s Legal Counsel.

After 14 years as Legal Counsel, Dr. Karen Miksch has decided to step down from this position. ASHE is tremendously grateful to Dr. Miksch for her outstanding leadership during this time. Her successes as Legal Counsel include working with 14 different boards of directors and ASHE Presidents, three different Executive Directors, and hundreds of volunteer leaders.  Dr. Miksch was recognized with the 2021 ASHE Distinguished Service Award for her commitment to the Association.

About the Role

Upon the recommendation of an ad hoc search committee named by the president, the board, upon a two-thirds vote, shall appoint the legal counsel to a three-year renewable term of office.

The legal counsel advises the board, executive director, council and committee chairs, and association members on matters with legal implications. This includes, but is not limited to: 
  1. interpreting the bylaws for the Association and Councils, reviewing Council bylaws to ensure they comply with the Association bylaws, and assisting in drafting ASHE and Council bylaws
  2. reviewing bylaws to ensure they comply with state and federal laws. 
  3. reviewing or preparing contracts involving the association, as with publishers and conference hotels; 
  4. attending all meetings of the board and the executive committee; 
  5. interpreting the bylaws and other rules of the association and assuring they comply with applicable laws; 
  6. advising the association about when to seek outside legal counsel and working with the executive director in directing the activities of counsel; 
  7. serving as chair of the Ethics Appeals Committee

Time Commitment

The commitment is on average 5-10 hours per month.
  • The legal Counsel serves as a voting member on the Association’s Executive Committee (along with the President; President-Elect; Past President; Budget, Finance, and Compliance Committee Chair; and Executive Director) which meets monthly and as needed in urgent situations (this occurs 2-3 times per year).
  • The Legal Counsel also serves as a non-voting member of the Association’s Board of Directors which meets monthly and as needed in urgent situations (this occurs 2-3 times per year). The Board typically meets in-person for three days each summer with expenses paid by the Association. The Board also meets in-person at the annual conference with Board members expected to cover their own expenses for this meeting/the conference.
This will be a three-year term that is able for re-appointment by the Board of Directors.

Preferred Qualifications

The Legal Counsel should possess:
  • Membership in ASHE of at least three years and involvement with the Association (e.g., committee service, conference attendance).
  • A commitment to the values of the Association including diversity, equity, and inclusion.
  • Legal expertise, such as an earned J.D. or research/practical experience with legal affairs. Experience and/or knowledge of contract law as well as non-profit law is especially beneficial in this role.
  • Experience leading others such as chair of a committee, program coordinator, department chair, etc.
  • The ability to present information to the Board of Directors and the membership in an understandable and transparent method.

The search committee will conduct interviews in late March and anticipates making a recommendation to the Board of Directors in April. The selected applicant will begin shadowing the current Legal Counsel beginning in May and formally be installed in the role at the close of the 2022 conference in November.
