Legal Counsel Search 2024

The ASHE Board of Directors has launched a search to fill the role of ASHE’s Legal Counsel.


About the Role

Upon the recommendation of an ad hoc search committee named by the president, the board, upon a two-thirds vote, shall appoint the legal counsel to a three-year renewable term of office.

The legal counsel advises the board, executive director, council, and committee chairs, and association members on matters with legal implications. This includes, but is not limited to: 
  1. attending quarterly meetings of the Board of Directors (as a non-voting member) and monthly meetings of the Executive Committee (as a voting member)
  2. interpreting the bylaws for the Association and Councils, reviewing Council bylaws to ensure they comply with the Association bylaws
  3. reviewing bylaws to ensure they comply with state and federal laws
  4. advising the board of directors about when to seek outside legal counsel
  5. serving as chair of the Ethics Appeals Committee
  6. reviewing contracts involving the association for alignment with ASHE Policies as needed
The Legal Counsel is not ASHE's attorney. ASHE has outside attorneys who provide legal expertise on as a needed basis to the Board of Directors and ASHE Staff.

Time Commitment

The commitment is on average 3-4 hours per month.
  • The Legal Counsel serves as a voting member on the Association’s Executive Committee (along with the President; President-Elect; Past President; Budget, Finance, and Compliance Committee Chair; Inclusion, Equity, and Organizational Diversity Committee Chair; and Executive Director) which meets monthly and as needed in urgent situations (this occurs 2-3 times per year).
  • The Legal Counsel also serves as a non-voting member of the Association’s Board of Directors which meets quarterly and as needed in urgent situations (this occurs 2-3 times per year). The Board typically meets in-person for three days each summer with expenses paid by the Association. The Board also meets in-person at the annual conference with Board members expected to cover their own expenses for this meeting/the conference.
  • The Legal Counsel will serve on various committees of the Board of Directors.
  • The Legal Counsel typically meets with the Executive Director on a monthly basis or as needed.
This will be a three-year term that is able for re-appointment by the Board of Directors.

Preferred Qualifications

The Legal Counsel should possess:
  • Membership in ASHE of at least three years and involvement with the Association (e.g., committee service, conference attendance).
  • A commitment to the values of the Association including inclusion, equity, and organizational diversity and ethics
  • Legal expertise, such as an earned J.D. or research/practical experience with legal affairs. Experience and/or knowledge of contract law as well as non-profit law is especially beneficial in this role.
  • Experience leading others such as chair of a committee, program coordinator, department chair, etc.
  • The ability to present information to the Board of Directors and the membership in an understandable and transparent method.

This is a volunteer position; no compensation is provided.

The search committee will conduct interviews in late July/early August and anticipates making a recommendation to the Board of Directors in late August. The selected applicant will be appointed for the term September 2024-November 2027.
